The position Your main responsibilities will focus on drafting and negotiating, structuring, and counseling on various types of complex global M&A and other life science agreements such as key research and development collaborations, global license agreements, strategic equity investments and transactional intellectual property matters.You will be expected to develop solutions to new and challenging issues in a changing environment; and contribute to the ongoing development of the legal team and cultivate a highly collaborative culture.You will partner with a diverse range of stakeholders within the business and across Global Legal, including working closely with Research & Development, Product Supply, the global Business Development teams, Strategic Finance and other headquarters staff as well as other global legal colleagues on various strategic projects.Key ResponsibilitiesLead drafting, negotiating, structuring and advising on M&A and other complex life science transactions, including global licensing transactions, strategic collaborations and acquisitions. Be a key business partner with Business Development and line of business for such transactions. Advise on and manage critical legal issues and work closely with other functions such as Patents, R&D units and R&D operations, product supply, strategic finance and tax. Manage outside counsel. QualificationsSuccess criteria for this role include:Law degree from a recognized university and admitted to practice law. Minimum 8 years of experience from a major law firm or relevant in-house legal department. Proven track record of drafting and negotiating M&A or life science industry agreements. Experience with intellectual property issues or life science industry preferred. Strong work ethic and personal drive, “can-do” approach and results-oriented attitude, which enables you to establish strong professional relations internally and externally. International mind-set and enjoy being part of a global work environment. Ability to manage numerous and changing priorities effectively, meet deadlines and work independently as well as in a team environment. Solid attention to detail and creative and practical problem-solving skills. Excellent interpersonal and communication skills and can work well with a variety of internal stakeholders in cross-functional teams and interacts effectively and professionally with all levels within the organisation. Fluent in both written and spoken English. About the departmentYou will be reporting to the Vice President – Legal Business Development and be a key member of the highly collaborative and high-performing Legal Business Development team providing legal support to global Business Development activities such as M&A transactions and Integration, global intellectual property licensing transactions and other global strategic collaborations.
