Commercially minded Group General Counsel for listed, international company

Do you appreciate working closely with the Executive Board and the Board of Directors (BoD), supporting the group’s management, compliance as well as commercial growth agenda? Are you motivated by spearheading the legal processes in a listed company with strong profiles in our BoD? Then you could be our new Group General Counsel, heading up our Legal & Compliance function.

As our present Group General Counsel is leaving Flügger end of June, we are looking a new Group General Counsel to support Flügger. You will be overseeing all legal aspects within the global Flügger Group as head of the Legal & Compliance function. You and your team will ensure Flügger Group follows applicable law and you will work closely with the business and management team in both daily business and development activities.

Role

You and your team of 5 skilled team-members in Denmark and 3 in our subsidiaries will drive all legal aspects of relevance to Flügger Group. Further, you will manage cooperation with external law firms. You will report to our Chief Financial Officer, Poul Erik Stockfleth and be a part of the CFO management team, as well as being registered in several boards of subsidiaries. The Flügger Legal & Compliance team has been recognized in Legal500 several times during the last years.

Responsibilities

The main responsibilities of the Group General Counsel and the Legal and Compliance function include:

• Lead, motivate and develop our Legal & Compliance function, ensuring continued high performance and engagement in the team.
• Drive key legal processes.
• Identify and implement continuous improvements, ensuring the function has the best flow of day-to-day operations and the business the right level of support.
• Assisting and acting as legal advisor for the Board of Directors on amongst others corporate law, stock exchange regulation and corporate governance recommendations.
• Advise management and the Board of Directors in matters of compliance with law and administrative regulations.
• Analyze and identify the legal risks and implications of business transactions, keeping the management in all departments of the organization informed of developments in laws and regulations that potentially can affect the business.
• Communicate and negotiate with relevant external parties globally (external counsel, public authority etc.), creating relations of trust.
• Ensure compliance with law, regulations and internal policies and guidelines.
• Provide training on legal and compliance matters.

Your Background

• 6+ years in the legal field in law firms and serving as in-house counsel in industrial & commercial companies within international groups or with international exposure.
• Experience with tasks of board secretariat, international trade and contracting, corporate law, M&A, stock exchange regulation, legal compliance, IPR and sanctions compliance.
• Management and leadership experience
• Native Danish speaker with profound command of the English language
